Welcome to FormAI. By accessing or using our website and platform at formai.app ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use our Service.

1. Acceptance of Terms

By creating an account, joining our waitlist, or otherwise using our Service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

FormAI provides an AI-powered platform for creating surveys, quizzes, live training sessions, and interactive forms, along with analytics and integration features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use certain features of the Service, you may be required to create an account. You are responsible for:

• Providing accurate and complete registration information.
• Maintaining the security of your account credentials.
• All activities that occur under your account.

You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights.
• Transmit harmful, offensive, or misleading content.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to any systems or networks connected to the Service.
• Use automated means (bots, scrapers) to access the Service without our prior written consent.
• Collect personal data of other users without their consent.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by FormAI and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of all content you create using the Service. By using the Service, you grant us a limited license to host, store, and display your content solely for the purpose of providing the Service. We will not use your User Content to train machine learning models without your explicit, opt-in consent.

6. User Content

(a) User-Created Content (surveys, quizzes, forms). You are solely responsible for the surveys, quizzes, forms, and other materials you create or upload through the Service. You retain ownership of this content and represent that you have all necessary rights to use and share it.

(b) Form Responses (submissions from third parties to your forms). When respondents submit data through forms you publish using the Service, you act as the data controller under the GDPR with respect to that response data. You are responsible for collecting any required consent, providing appropriate privacy notices to your respondents, and honoring data-subject requests (access, rectification, erasure, portability) from those respondents.

7. Payment and Billing

Certain features of the Service may require a paid subscription. Payment terms, pricing, and billing cycles are presented at the time of purchase. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with at least 30 days' advance notice. When Pro and Business plans launch, they will include a free trial period; specific terms will be presented at the time of subscription.

8. Termination

We will provide at least 30 days' notice before suspending or terminating your account, except where immediate suspension is necessary for security or legal compliance. Upon termination, your right to use the Service ceases immediately. You may request deletion of your account and data at any time by contacting [email protected] — we will process verified deletion requests within 30 days and confirm completion via email.

9. Limitation of Liability

To the maximum extent permitted by law, FormAI and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill arising from your use of the Service.

10. Indemnification

You agree to indemnify and hold harmless FormAI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

11. Governing Law

These Terms are governed by the laws of France. FormAI is operated by Exceev Consulting, registered in Paris, France [TODO: confirm legal entity name + RCS registration number with founders]. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Paris, France.

12. Changes to Terms

We may update these Terms. Material changes will be notified at least 30 days in advance via email or a prominent in-app notice. You may reject changes by discontinuing use during the notice period; continued use after the notice period constitutes acceptance.

Disclaimer

To the extent permitted by applicable law, the Service is provided "as is" and "as available". We do, however, commit to: (a) reasonable security measures including encryption in transit and at rest; (b) processing personal data in accordance with our Privacy Policy and the GDPR; (c) addressing critical bugs that affect data integrity or availability promptly. Statutory consumer rights are not affected by this disclaimer.
